Foodie terms & conditions for Vendors

Dear Vendors, Welcome to Foodie!

Thank you for choosing Foodie, where food meets community! We are excited to provide you with a platform that not only connects you with a vast customer base but also empowers you to grow your business, showcase your culinary expertise, and be part of a vibrant food-loving community. Foodie is more than just a food delivery service; it's a community where passion for great food brings people together. Whether you're an established restaurant, a local eatery, or a home chef looking to expand your reach, Foodie is here to support your journey.

However, before you dive in, it’s essential that you review and understand these Terms & Conditions (the "Terms") that govern your use of the Foodie platform. These Terms establish a legally binding agreement between you and Foodie. By using our services, you agree to comply with these Terms, along with our Privacy Policy, and any additional terms that may apply to specific features of the platform.

Agreement Overview

Foodie products and services are operated by FOODIE LLC, (hereinafter referred to as "Foodie," "we," or "us"). Before using the services, please carefully read and understand these "Foodie Terms of Use" (hereinafter referred to as "these Terms"), along with all related terms, policies, or guidelines available on our platform. These Terms, together with any additional terms for specific features or functionalities ("Specific Terms"), govern your use of Foodie's products and services. In the event of any conflict between these Terms and the Specific Terms, the provisions of the Specific Terms shall prevail.

By registering as a vendor on Foodie and using our platform to list, promote, and sell your products or services, you acknowledge that you have read, understood, and agreed to all terms, including the Foodie Privacy Policy, the Payment Terms and the Refund Policy. You agree to comply with and be bound by these Terms and any future amendments or modifications. If you do not agree to these Terms, you must immediately cease using our Services. Your continued use of the Services constitutes your acceptance of any updated Terms.

Foodie reserves the right, at its sole discretion, to modify or update these Terms at any time without prior notice. Your continued use of the Services after such using the Platform will constitute your acceptance of the modified Terms. Vendors are encouraged to regularly review these Terms to stay informed of any updates or policy changes

To register as a Vendor on Foodie, you must be a legally registered business entity or sole proprietor authorized to sell food, beverages, or related services and provide accurate business registration details, ensuring compliance with all local, national, and industry-specific regulations related to food safety, hygiene, and consumer protection.

 

Foodie Services

Foodie provides an online platform that enables registered vendors (including but not limited to restaurants, food trucks, bakeries, and specialty food providers) to list and sell their food and beverage products to customers through the Foodie App and website. Vendors can create and manage their online menus, set pricing, receive and fulfill customer orders, and utilize additional platform features such as promotional tools, analytics, and customer engagement.

In addition to facilitating transactions, Foodie offers vendors access to marketing exposure, including features such as advertising placements, special promotions, and highlighted listings to help vendors reach a broader audience. Vendors may also engage with the Foodie community by responding to reviews, participating in events, and collaborating with food bloggers to enhance their brand visibility.

Foodie acts solely as an intermediary between vendors and customers and does not itself own, prepare, package, or deliver food products. Foodie provides the technological infrastructure and customer support tools necessary for vendors to operate efficiently on the platform but does not assume responsibility for the food quality, hygiene, preparation standards, or delivery performance of vendors.

All vendors registered on Foodie operate as independent business entities and retain full control over their own business operations, including but not limited to menu offerings, pricing, preparation processes, and customer service policies. Vendors are solely responsible for ensuring that their food products and services comply with all applicable health, safety, and business regulations.

Foodie is not liable for any disputes, claims, damages, or legal issues arising from vendor operations, order fulfillment, food safety concerns, delivery mishaps, or customer dissatisfaction. Any disputes between vendors and customers must be handled directly by the vendor in accordance with applicable laws.

Foodie reserves the right to modify, enhance, or discontinue certain features at any time and shall not be held liable for any financial losses, business disruptions, or operational inconveniences resulting from such changes.

Account Registration and Security

To register as a vendor on Foodie and access the platform’s services, you must be a legally registered business entity or individual proprietor engaged in food production, preparation, or sales, and possess the necessary business licenses, health permits, and other regulatory approvals required by local authorities.

By registering on Foodie, you agree to comply with all applicable laws, food safety regulations, and platform policies. If Foodie determines that a vendor is operating without the necessary licenses or, if the materials or information you submit are inaccurate, untrue, non-standard, or if there is a reason for the company to suspect them as incorrect the vendor’s account may be suspended or permanently terminated without notice.

To complete your vendor registration, you will be required to submit:

  1. Business registration details, including company name, legal entity type, and tax identification number;

  2. Valid food safety licenses and permits in accordance with local health regulations;
  3. Banking and payment information for receiving payouts;
  4. Authorized contact details, including business address, phone number, and email address.

Foodie reserves the right to verify and audit the accuracy of the submitted information before approving a vendor’s account. If any documents are found to be false, outdated, or misleading, Foodie may reject the application or suspend an existing vendor account until compliance is met.

Foodie reserves the right, in its sole discretion, to suspend, terminate, or restrict your access to the Services if we believe you have violated any of these Terms, engaged in fraudulent activity, or otherwise acted in a manner detrimental to the integrity of the platform. You may terminate your account at any time by following the instructions provided within the platform.

If you lose access to your account, forget your password, or experience technical login issues, you may submit a verification request to regain access. For security reasons, Foodie may request additional business verification documents before reinstating access.

You are responsible for protecting your account credentials and ensuring that employees or authorized managers using the vendor portal log out after each session to prevent unauthorized use.

To delete your vendor account, you must submit an official termination request through the Foodie Vendor Dashboard or by contacting Foodie support. Deleting your account will remove all active menu listings and vendor services, but some business transaction data may be retained as required by law for financial, compliance, and dispute resolution purposes.

By deleting your account, you acknowledge that you are responsible for fulfilling any outstanding orders, pending refunds, or contractual obligations before termination is finalized.

Vendors Obligations and Restrictions

When using the Services provided by Foodie, Vendors shall comply with these Terms and adhere to all applicable laws, regulations, platform policies, the principles of voluntariness, equality, fairness, and good faith. Users shall not use the service to infringe on the legal rights of others or seek unjust benefits, nor shall they disrupt the normal order of the internet platform. You are required to provide accurate order and delivery information, respect the rights of other Vendors, Users, and Delivery Partners, and ensure timely payment for services.

Vendors are fully responsible for the accuracy of their menu items, pricing, availability, and fulfillment timelines. Orders accepted through the platform must be processed promptly and delivered as per the agreed specifications to maintain service quality and customer satisfaction.

Vendors are expressly prohibited from engaging in the following activities:

        1. Submitting false or misleading business information, including inaccurate pricing, fake discounts, or unavailable menu items intended to manipulate customer choices; 
        2. Engaging in fraudulent transactions, such as processing fake orders, using unauthorized payment methods, or issuing illegitimate refunds to circumvent platform policies;
        3. Manipulating ratings, reviews, or promotions, including submitting fake positive reviews for their own business or posting negative reviews about competitors;
        4. Interfering with platform operations, including unauthorized automation, reverse engineering, hacking, or circumventing Foodie’s security protocols;
        5. Providing unsafe, expired, or improperly stored food, violating food safety regulations or failing to maintain required health and hygiene standards.
        6. Engaging in abusive behavior, harassment, or discrimination against customers, delivery partners, other vendors, or Foodie staff;
        7. Posting inappropriate, offensive, or unlawful content on the platform, including but not limited to content that violates the rights of others, is discriminatory, harassing, threatening, obscene, or defamatory, or promotes illegal activities;
        8. Collecting, using, or disclosing users' personal data in any manner that violates applicable data protection laws or Foodie’s privacy policy, or for purposes other than fulfilling orders or platform-related activities. Vendors must ensure that users' personal data is kept confidential and protected from unauthorized access, use, or disclosure;
        9. Engaging in any activity that could compromise the security of the platform or the privacy of its users, including attempting to access, steal, or manipulate user data without authorization, or using the platform to spread malware or viruses;
        10. Exploiting promotional campaigns by creating fake orders, coordinating mass coupon misuse, or engaging in fraudulent claims for refunds and chargebacks;
        11. Offering or selling unauthorized products or services that are not approved under Foodie’s platform guidelines, including illegal substances or non-food-related items;
        12. Failing to fulfill orders as agreed, including repeated delays, sending incorrect or substandard food, or refusing refunds where applicable under platform policies;
        13. Attempting to bypass Foodie’s transaction system by encouraging customers to complete orders or payments outside the platform, thereby avoiding applicable service fees or commissions.

To ensure compliance and maintain the integrity of the platform, Foodie reserves the right to monitor vendor behavior using technical tools, data analysis, and periodic business audits. Vendors found violating these Terms may be subject to:

      1. Temporary suspension of their vendor account.
      2. Financial penalties or removal from promotional programs.
      3. Permanent termination of their vendor privileges on the Foodie platform.
      4. Legal action in cases involving fraudulent activity, safety violations, or breach of consumer protection laws.
 

Order Processing and Delivery

Orders placed through the Foodie platform become binding upon confirmation by the Vendor. Users are responsible for reviewing all order details, including item descriptions, quantities, pricing, and any special instructions, prior to submission. Orders are subject to availability, and Vendors retain the right to decline orders due to stock shortages, technical errors, policy violations, or other operational constraints. By placing an order, users authorize Foodie to share relevant information with Vendors and Delivery Partners to facilitate the transaction. Users must comply with all applicable Vendor policies and any additional requirements specified at the time of placing an order.

Vendors are expected to confirm orders within one (1) minute of receipt. While this is a recommended timeframe, no automatic cancellation occurs if it is exceeded. However, if the Vendor fails to respond, Foodie is required to cancel the order due to lack of confirmation, the cancellation will be processed in accordance with the Refund Policy. Users may cancel orders without charge prior to Vendor acceptance. Once an order is accepted, it becomes final, and cancellation may result in full payment being charged, unless delivery has not yet been initiated, in which case only the delivery fee may be refunded.

Requests for modifications or cancellations must be submitted promptly and before the Vendor confirms the order. Such requests are subject to Vendor approval and may result in additional charges. Foodie will notify users of any applicable fees before processing modifications or cancellations. Refunds for canceled or modified orders will be issued in accordance with Foodie’s established Vendor’s Refund Policy, and refund processing times may vary depending on the payment method used. Foodie reserves the right to deduct applicable fees before issuing refunds.

Vendors retain the right to cancel orders at their discretion, including but not limited to instances of inventory shortages, technical failures, or force majeure events. In such cases, affected users will be notified promptly, and any payments made will be refunded in accordance with the refund policy.

Estimated delivery times displayed on the platform are for reference only and are not guaranteed. Various external factors, including weather conditions, high order volumes, traffic disruptions, and unforeseen technical issues, may affect actual delivery times. While Foodie and its Delivery Partners strive to provide timely service, they are not liable for delays beyond reasonable control. Users must ensure that delivery addresses are accurate, accessible, and safe for delivery.

Delivery and Pick-Up Policies

As a Vendor on the Foodie platform, you are responsible for preparing and fulfilling orders placed by users through the app. Foodie facilitates the delivery process by connecting you with Delivery Partners, but the actual preparation, packaging, and quality of the food items remain under your control. The estimated delivery time provided to users at the time of order placement is an approximation based on factors such as your preparation time, the distance between your premises and the delivery address, current traffic conditions, and other relevant considerations. However, the actual delivery time may vary due to factors beyond Foodie’s reasonable control, including but not limited to: a) Unforeseen traffic delays or road conditions; b) Adverse weather conditions (e.g., storms, heavy rain, or snow); c) Vendor delays in food preparation or fulfillment; d) Delivery Partner delays due to personal or logistical factors.

By using Foodie’s services, you acknowledge and agree that the estimated delivery times provided to users are not guaranteed and are subject to change. Foodie shall not be held liable for delays caused by factors outside its reasonable control. The delivery time estimates are intended for informational purposes only and do not constitute a binding commitment.

To ensure successful delivery of orders, you are solely responsible for ensuring that orders are prepared and ready for pickup by the Delivery Partner within the estimated preparation time. You must verify that the correct items, quantities, and special instructions are included in each order before handing it over to the Delivery Partner, while ensuring that all food items meet the quality and safety standards expected by users and comply with local health and safety regulations, and providing clear instructions to Delivery Partners regarding pickup locations, order details, and any special handling requirements. In the event that a delivery attempt fails due to the following circumstances, Foodie shall have no liability, and you will not be entitled to a refund or any form of compensation: a) Incorrect or incomplete delivery address provided at the time of order; b) User unavailability or failure to respond to the Delivery Partner's attempts to contact you at the delivery address; c) User failure to provide necessary access to the delivery location (e.g., locked gates, inaccessible buildings, or restricted entry points); d) Failure to provide a valid contact number or a reachable point of contact for the Delivery Partner. 

In such cases, Foodie reserves the right, at its sole discretion, to cancel the order or charge you a cancellation fee. If the order is canceled due to failed delivery, no refund will be issued, unless otherwise specified in our Refund Policy

For orders designated for pick-up ("Pick-Up Orders"), users are responsible for collecting the order directly from the vendor’s premises at the designated pick-up location. You are required to prepare the order and have it ready for collection at the scheduled time. However, you are only obligated to hold your Pick-Up Order for a limited period of time. The following terms apply to Pick-Up Orders:

    1. The vendor will hold the Pick-Up Order for a maximum of thirty (30) minutes after the designated pick-up time.
    2. If the user fails to collect their order within this holding period, you may, at your discretion, choose not to release the order or provide a replacement.
    3. After the holding period expires, you are not obligated to offer any form of replacement, refund, or compensation for any dissatisfaction arising from the user’s failure to pick up the order in time.

Foodie is not responsible for any delays or issues caused by the user’s failure to pick up the order in a timely manner. You agree that Foodie will not be held liable for any loss, damage, or inconvenience resulting from delays in picking up the order.

Once an order has been submitted and payment processed, it is generally considered final and non-modifiable. However, in cases where modifications or cancellations are permitted, you must act promptly. The following policies apply:

    1. If a user wishes to cancel or modify a delivery order after it has been placed, they must contact Foodie support immediately. Cancellations or modifications to orders may not be possible once you have accepted the order or the Delivery Partner is in route to the delivery location. If cancellation or modification is still possible, Foodie will make reasonable efforts to accommodate the user’s request, but Foodie does not guarantee the ability to cancel or alter an order once it is in progress.
    2. Pick-Up Orders: Once a pick-up order has been prepared by you, cancellations or modifications are not allowed. Users are encouraged to ensure the accuracy of their order before finalizing it.
 

Price and Payment Methods

As a Vendor, you are responsible for setting the prices of your menu items on the Foodie platform. All prices displayed must include applicable taxes, including VAT, and any applicable service charges such as delivery fees, where relevant. Pricing may vary based on location, your pricing policies, and promotions. Foodie endeavors to ensure that all listed prices are accurate and up to date; however, if an obvious pricing error is identified, Foodie reserves the right to cancel the affected order and issue a refund to the user, even after order confirmation. Users will be notified of any pricing discrepancies, and in cases where adjustments are necessary, they will have the right to cancel their order before proceeding with the modified amount.

Foodie supports multiple secure payment methods for users, including credit/debit cards and digital platform wallets. Upon order confirmation, the corresponding payment amount is authorized and held in the user’s account until the order is completed. Payments are securely processed through third-party payment providers, ensuring compliance with financial regulations and industry security standards. In cases where payment processing issues arise due to banking restrictions, insufficient funds, or technical errors, the order may be delayed or canceled at Foodie’s discretion.

You are responsible for ensuring that your data, bank account details, menu items and prices are accurate and up to date on the Foodie platform. Foodie does not store sensitive payment information but facilitates transactions through its secure payment processing partners. You must ensure that your access credentials remain confidential and are not shared with third parties. Foodie shall not be liable for any unauthorized transactions resulting from user negligence, including account security breaches or fraudulent activity by third parties.

Refunds, where applicable, will be processed through the Vendor’s virtual wallet. 

Foodie reserves the right to modify its pricing structures, service charges, and available payment methods at any time to reflect operational costs, economic conditions, or changes in Vendor pricing models. Any such modifications will be communicated through platform notifications, and continued use of the service constitutes acceptance of the updated terms.

Reviews and Penalties:

Bad Review Protocol

  1. Vendor acknowledges that maintaining high quality, consistent food safety, and reliable service is critical to Foodie’s reputation.
  2. In the event that a Verified Bad Review is received regarding Vendor’s Menu Items or operational performance, Foodie shall issue a written warning by means of communication for the second occurrence.
  3. Upon the third Verified Bad Review, Vendor’s account shall be suspended on the Platform for a period of three (3) days.
  4. If a fifth Verified Bad Review is received, Foodie shall have the right to immediately terminate the vendor’s subscription without further notice or liability to Foodie.
  5. For the purpose of these Terms “Verified Bad Review” means a user-submitted review regarding Vendor’s performance or Menu Items that, upon investigation by Foodie, is determined to be valid and adverse in nature, as set forth in Foodie’s review and penalty procedures

Price Hike Penalties

  1. Vendor agrees to maintain price consistency between the Menu Items listed on Foodie and those available through other channels.
  2. Should Vendor increase its prices without prior Foodie approval, and if such price increases are verified by Foodie through credible reports, Vendor shall face a penalty consisting of a three (3) day suspension from the Platform for the first occurrence.
  3. A second verified instance of unauthorized price increases shall result in the immediate termination of the vendor’s subscription without further notice or liability to Foodie.

Intellectual Property Rights

All intellectual property associated with the platform, including software, algorithms, content, graphics, trademarks, proprietary technology, and unique features such as social networking functionalities, remains the exclusive property of Foodie or its licensors. As a Vendor, you are granted a limited, revocable, non-exclusive, and non-transferable license to access and use the platform solely for its intended purposes, subject to compliance with these Terms. This license does not grant you ownership of any intellectual property owned by Foodie or its affiliates.

Vendors are prohibited from copying, reproducing, distributing, reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying components of the platform. Any unauthorized use of Foodie’s intellectual property may result in immediate suspension or termination of access and potential legal action.

Without our permission, you or your end users shall not use any trademarks, service marks, trade names, domain names, website names, company logos (LOGOs), URLs, or other prominent brand features related to the Services, including but not limited to "Foodie”, in any way, either singly or in combination. You are not allowed to display, use, or apply for registration of trademarks, domain names, etc., related to the aforementioned terms in any way, and you shall not perform acts that expressly or implicitly indicate the right to display, use, or otherwise deal with these identifiers to others.

Vendor-Generated Content

While you retain ownership of the original content you create and upload to the Foodie platform (e.g., menu descriptions, photos, videos), you grant Foodie a non-exclusive, perpetual, royalty-free, worldwide license to use, reproduce, modify, distribute, and display such content for the purposes of operating and promoting the platform. This includes the right to feature your content in marketing materials, social media posts, and third-party collaborations.

Non-Compete and Non-Disclosure:

      1. Vendor acknowledges and agrees that during the term of their subscriptions on the platform and for a period of five (5) years following final termination (the “Non-Compete Period”), Vendor shall not, directly or indirectly, engage in, assist, develop, launch, or participate in any service, platform or activity that is similar or utilizes in any way the proprietary concept, functionality, or overall user experience of the Foodie Platform.
      2. Vendor further agrees not to disclose or use any confidential or proprietary information of Foodie for the benefit of any competing business.
      3. Vendor may list, market and sell its products through other channels as long as such activities do not result in a breach of the Vendor’s non-compete obligations set forth in this section.
      4. In the case of the violation of these non-compete provisions, Foodie also reserves the right to seek any and all other legal remedies available, including but not limited to injunctive relief, damages, and any other remedies to enforce the terms of this Agreement.

Data Privacy and Protection

    1. Vendors shall comply with all applicable provisions of the Jordanian Personal Data Protection Law No. 24 of 2023 and its amendments (the “PDP Law”) in connection with the Processing of Personal Data under this Agreement.
    2. Any Personal Data exchanged or processed in connection with this Agreement—including for KYC and order fulfillment—shall be processed lawfully, fairly, and transparently. The processing shall be limited solely to the purposes specified in this Agreement and consistent with the PDP Law.
    3. Vendors shall implement and maintain appropriate technical and organizational measures to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. Foodie shall ensure that its systems incorporate state-of-the-art security measures, and Vendor shall, as reasonably required, adopt compatible safeguards.
    4. Any transfer of Personal Data outside the Kingdom of Jordan shall only occur if the recipient provides an adequate level of protection as required by the PDP Law. No such transfer shall be made without ensuring that appropriate safeguards are in place.
    5. Personal Data shall not be retained longer than necessary for the purposes for which it is processed. Upon completion of such purposes or upon termination of the vendor’s subscription, Personal Data shall be securely deleted or anonymized in accordance with the PDP Law.
    6. All Personal Data exchanged between Foodie and the Vendors shall be deemed Confidential Information and shall be handled in strict confidence in accordance with the confidentiality provisions set forth elsewhere in these terms and the requirements of the PDP Law.
 

Advertisement Policy

Foodie may display advertisements from third-party partners, sponsors, or affiliates (“Advertisers”) as part of its services. These advertisements may appear on the platform, in emails, or within other communications. As a Vendor, you may also have the opportunity to participate in promotional campaigns or sponsored content initiatives, subject to separate agreements with Foodie.

Advertisers are solely responsible for:

        1. Ensuring their content complies with all applicable laws, including Jordanian consumer protection, anti-discrimination, and e-commerce regulations.
        2. Accurately representing products/services and disclosing material terms (e.g., pricing, eligibility).
        3. Labeling sponsored or promotional content clearly (e.g., using “Ad,” “Sponsored,” or “Promotion”).

If you encounter misleading, offensive, or illegal advertisements on the Foodie platform, you may report them directly through the platform’s reporting tools. Foodie will investigate and remove non-compliant ads within 48 hours of receiving a valid report.

Foodie does not endorse Advertisers or their products/services. We are not liable for disputes arising from third-party advertisements, including but not limited to claims of false advertising, product defects, or service failures.

Termination of the Vendor’s Subscription:

Upon termination or expiration of this Agreement for any reason:

        1. Vendor shall immediately cease offering Menu Items on the Foodie Platform;
        2. Vendor shall fulfill all pending orders and contractual obligations arising prior to the termination date;
        3. Foodie shall remit any outstanding payments to Vendor for orders completed prior to termination, subject to any applicable deductions for refunds, chargebacks, or penalties;
        4. Vendor shall promptly return or destroy all Confidential Information of Foodie in its possession; and
      1. Termination of this Agreement shall not entitle Vendor to any compensation, damages, or reimbursement for lost profits, whether or not such losses were foreseeable, arising from the termination. Furthermore, Vendor shall be liable for any losses, costs, or damages incurred by Foodie as a result of Vendor’s breach or any grounds for termination under this Agreement, including but not limited to legal fees, reputational harm, and operational disruptions.

Disclaimer of Warranties, Limitations of Liability, and Indemnity

Foodie provides the platform “as is” and makes no representations or warranties of any kind, express or implied, regarding its functionality, reliability, or suitability for your business needs. To the fullest extent permitted by law, Foodie disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

In response to your violation of these Terms or other service terms, Foodie reserves the right to independently judge and take measures against you, including issuing warnings, setting deadlines for correction, restricting account functions, suspending usage, closing accounts, prohibiting re-registration, deleting relevant content, etc., without the need for prior notification. We have the right to announce the results of the actions taken and, based on the actual circumstances, decide whether to restore usage. For behaviors suspected of violating laws and regulations or involving illegal activities, relevant records will be retained, and reports will be made to the competent authorities in accordance with the law, cooperating with their investigations. You shall be solely responsible for any legal liabilities, claims, demands, or losses asserted by third parties resulting therefrom, and you shall compensate us for any losses incurred, including litigation fees, arbitration fees, attorney fees, notary fees, announcement fees, appraisal fees, travel expenses, investigation and evidence collection fees, compensation, liquidated damages, settlement costs, and administrative fines incurred in protecting our rights.

Unless otherwise agreed, neither party shall bear incidental, consequential, punitive, special, or indirect losses or damages, including but not limited to the loss of profits or goodwill, regardless of how such losses or damages arise or the liability theory they are based on, and irrespective of any litigation brought under breach, tort, compensation, or any other legal grounds, even if informed of the possibility of such losses.

Foodie acts solely as an intermediary platform. To the fullest extent permitted by law, we exclude liability for:

        1. Food quality, preparation, or safety.
        2. Delivery delays, errors, or damages caused by Delivery Partners or external factors.
        3. Third-party actions, including Advertisers or linked websites.
        4. Indirect, consequential, or punitive damages.
        5. The Vendor’s misuse of user data or any violation of applicable data protection and privacy laws, including unauthorized access, use, or disclosure of personal information provided by users.
        6. Inappropriate, offensive, or unlawful content posted by the Vendor on the Platform, including content that violates the rights of users or third parties, or that is discriminatory, defamatory, or harmful to the reputation of Foodie or other users

You agree to indemnify, defend, and hold us and our affiliates and licensors (if any) harmless against any liabilities, damages, and costs (including reasonable attorneys' fees) payable to a third party arising out of a breach by you or any user of your account of these Terms, your violation of all applicable laws and regulations or third party rights, your fraud or other illegal acts, or your intentional misconduct or gross negligence, to the extent permitted by the applicable law.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan without regard to conflict of law principles. All disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Central Amman (Qasr Al Adl).

Before initiating legal action, parties agree to attempt resolution through good-faith negotiation or mediation. If such efforts fail, disputes may proceed to arbitration or litigation as determined by applicable law.

 

Modifications to Terms

Foodie reserves the right to update or modify these Terms at any time. Changes will become effective upon posting to the platform. Vendors are encouraged to review the Terms regularly. Continued use of the Services constitutes acceptance of any updated Terms.

 

Acknowledgment and Agreement

By using the platform, you confirm that you have read, understood, and accept these Terms. You agree to comply with all obligations and acknowledge the legally binding nature of this agreement. Failure to adhere to these Terms may result in suspension or termination of access and potential legal consequences.
